Terms of Service

1. Agreement

These Terms of Service ("Terms") govern access to and use of Marxi and related services (collectively, the "Service") provided by Brevard SEM LLC. By creating an account, accessing, or using the Service, you agree to these Terms on behalf of yourself or the organization you represent. If you do not agree, do not use the Service.

2. Eligibility and Accounts

You must be at least 18 years old and have authority to bind your organization (if applicable). You are responsible for safeguarding credentials and for all activity under your account. Notify us promptly at hi@marxi.ai of unauthorized access.

3. The Service

Marxi is an enterprise SaaS platform for marketing intelligence, including analytics dashboards, AI insights, workspace management, and optional third-party integrations. Features may change over time. We may modify, suspend, or discontinue features with reasonable notice where practicable.

4. Customer Data and License

You retain ownership of data you submit or connect to the Service ("Customer Data"). You grant Brevard SEM LLC a limited license to host, process, transmit, and display Customer Data solely to provide and improve the Service, including AI-assisted analysis you request. You represent that you have all rights and consents necessary to provide Customer Data and connect third-party accounts.

5. Third-Party Services and Google APIs

The Service may connect to third-party platforms (including Google Analytics, Google Search Console, Google Ads, and others) at your direction. Your use of third-party services is subject to their terms and policies. Brevard SEM LLC is not responsible for third-party outages, policy changes, or data practices.

When you authorize Google OAuth, you instruct us to access read-only GA4 and GSC data for the properties you select, solely to deliver in-product telemetry and AI insights as described in our Privacy Policy.

6. AI-Generated Output

The Service may produce AI-generated summaries, recommendations, and drafts. Outputs are provided for informational purposes and may be incomplete or inaccurate. You are solely responsible for reviewing, validating, and approving outputs before use in campaigns, publications, or compliance-sensitive contexts. Brevard SEM LLC does not guarantee specific business results from use of the Service.

7. Acceptable Use

You agree not to:

• Violate applicable law or third-party rights;
• Attempt unauthorized access, probe, or disrupt the Service or related systems;
• Reverse engineer, scrape, or resell the Service except as expressly permitted in writing;
• Upload malware, abusive content, or data you lack rights to use;
• Use the Service to build a competing product using our proprietary materials or non-public interfaces.

8. Fees and Payment

Paid plans, if applicable, are billed according to the order form or checkout terms presented to you. Fees are non-refundable except where required by law or expressly stated in your agreement. Failure to pay may result in suspension or termination of access.

9. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and use it only for purposes of the relationship, except as required by law or with consent.

10. Intellectual Property

Brevard SEM LLC and its licensors own the Service, software, branding, documentation, and all related intellectual property. Except for the limited rights expressly granted, no rights are transferred to you.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, Brevard SEM LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Brevard SEM LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO Brevard SEM LLC FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You will defend, indemnify, and hold harmless Brevard SEM LLC from claims arising out of your Customer Data, your use of the Service in violation of these Terms, or your violation of applicable law or third-party rights.

14. Term and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate access for breach, risk, non-payment, or legal requirement. You may stop using the Service at any time. Provisions that by nature should survive termination will survive.

15. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles, except where mandatory consumer protection laws apply in your jurisdiction.

16. Changes

We may update these Terms from time to time. Continued use after the effective date of revised Terms constitutes acceptance, except where prohibited by law.
